LAW 7888 - Securities Law I: Advising Private Companies

This course will prepare students to provide legal counsel to companies looking to raise captial through private and public offerings of securities. This course will cover the securities laws pertaining to such transactions and introduce students to the documentation involved. In addition, rather than conduct public offerings, many private companies are acquired by competing firms. To prepare students for these transactions, this course will discuss the fundamentals of stock purchase agreements and related transaction documents.
