Description
Corporate Finance, Reorganization, and Bankruptcy: This course explores how corporations obtain capital to finance their activities, and how to reorganize or restructure over-leveraged corporations through chapter 11 and other mechanisms. These mechanisms include bankruptcy, receiverships, consensual workouts, restructuring transactions like spinoff, merger, or consolidation, forbearance, and tender and exchange offers. Among other things, the course looks at the financial characteristics of the different types of debt and equity securities that a firm might issue to investors, the duties of corporate officers and directors in the zone of insolvency, and the range of possible outcomes and competing interests in workout and turnaround situations. PREREQUISITE: Business Organizations. Note: Bankruptcy is not a prerequisite.
