Description
This course builds on the material covered in Entrepreneurial Law. Students in this course will continue to explore the business and legal components required to successfully transition technology from early conception to out-licensing for commercial development, including the formation of a venture capital-funded entity. Drafting exercises include confidentiality agreements, material transfer agreements, valuations, term sheets, and employment contracts. Topics include leveraged buyouts, private equity, and technology licenses. Students in this course may elect to enroll in a simultaneous externship placement with a tech startup and have this course count as the required externship companion course. Students taking this course in conjunction with an externship will be required to share their externship experience with the class in order to maximize their learning from their work. Counts toward the experiential education requirement. PRE-REQUISITE: Entrepreneurial Law.
